Scan2Eat Terms of Service

Last updated: 17 October 2026

1. Who these terms are for

1.1 These terms are a contract between the provider named in our Legal information ("Azayn", "we", "us") and the business that creates a Scan2Eat account (the "Business", "you"). They govern the Scan2Eat web applications and interfaces, including the admin, staff, kitchen and guest ordering apps, and any related support (the "Service").

1.2 Scan2Eat is offered only to businesses, including hotels and restaurants, acting in the course of their trade or profession. By registering you confirm that you act as a business and that you may bind it. Consumers may not register.

1.3 These terms apply exclusively. Conflicting terms of the Business apply only if we agree to them in writing. You accept these terms with a checkbox at signup, and they apply to later orders too.

1.4 These documents are part of the contract: the Data Processing Agreement, the Acceptable Use Policy, the Sub-processors list, the Retention and Deletion Policy, the Device Terms of Sale for anyone buying a device, and the Service Level Agreement for the Large and Multi plans. For personal data, the Data Processing Agreement prevails. Our Privacy Policy describes the data we handle for ourselves.

2. The Service

2.1 Scan2Eat lets guests order from a table or room by scanning a QR code, lets staff and the kitchen handle orders, and gives administrators tools for the menu, tables and rooms, users, and, depending on the plan, inventory, payment interfaces and several restaurants or hotels.

2.2 We do not process payments, issue invoices or receipts, or act as a fiscal cash register or accounting system. Bills in the Service are pre-bills and order summaries, not tax invoices or fiscal receipts. You are solely responsible for any certified point-of-sale or fiscal system the law requires, for legally valid receipts and invoices, for calculating tax (tax rates, inclusive or exclusive settings and service charges are set by you and not checked by us), and for following the fiscal, tax, record-keeping, consumer-protection and price-display laws of every country where you operate. Marking a bill "settled externally" only records that payment happened outside the Service.

2.3 Menu content and allergens. You are responsible for the accuracy and completeness of your menu, prices, and ingredient and allergen information, including the allergen information the law requires in each country, and for informing guests properly. The allergen fields and the guest filter are convenience tools, not allergen advice and not a guarantee. Do not use the Service as your only way of telling guests about allergens where the law requires staff to tell them.

2.4 We may improve, change or discontinue features. If a change materially reduces what a paid plan offers, we will tell you at least 30 days ahead, and you may then end the contract for good cause.

2.5 You need internet access and a current browser. Setting up a QR display device in the admin app needs a desktop Chromium-based browser with Web Serial support. You are responsible for your own devices, networks and printers.

3. Plans, limits and fees

3.1 The plans are Small, Medium, Large and Multi. Their limits (tables and rooms, menu items) and features (changing-QR devices and shared tables, inventory, payment interfaces, several restaurants or hotels) are as shown when you order.

3.2 Fees are billed monthly in advance through Stripe. Taxes are added where they apply. For EU businesses in another country, the reverse-charge mechanism applies when you give a valid VAT identification number. You must keep your billing details accurate.

3.3 Renewal and cancellation. Subscriptions renew automatically each month. You can cancel at any time in the billing portal, effective at the end of the current billing month. We may end the contract with 30 days' notice to the end of a month. The right to terminate for good cause is not affected. We do not refund fees already paid pro rata, unless you end the contract because of our breach or the law requires it.

3.4 Switching (EU Data Act). Where the switching rules of the EU Data Act apply, you may start a switch to another provider or to your own systems with up to two months' notice. We will support the move for up to 30 days (longer where it is technically not possible), make the export in section 9 available, and charge only the switching charges the law permits.

3.5 Non-payment and the grace period. If a payment fails or a plan ends, the Service shows a notice and you have a grace period of seven days in which everything keeps working. After that, guest ordering is switched off and guests see a notice. Staff and the kitchen can finish orders and bills that are already open, and administrators keep access to billing, plan selection and data export. Full operation returns as soon as the payment is made.

3.6 Changing plans. Upgrades take effect at once, pro-rated by Stripe where it applies. Downgrades take effect at the next billing date. On a downgrade:

  • tables, rooms and menu items beyond the new limit are locked read-only and nothing is deleted, and you cannot add new ones until you are within the limit;
  • features the new plan does not include (inventory, payment interfaces) are switched off and their data is kept but not accessible until you upgrade again;
  • when you leave the Multi plan, you choose one restaurant or hotel to keep. All others are suspended: they cannot be opened, edited, selected or used for ordering until you upgrade to Multi again, when they return unchanged. If you make no choice by the downgrade date, we keep the one marked as default.

3.7 We may change prices with 60 days' notice before the next renewal. You may cancel before the new price applies.

4. Accounts and security

4.1 You name the administrators and manage roles (Admin, Manager, Staff, Kitchen). You are responsible for everything done under your accounts, for keeping credentials secret, for removing people who leave, and for making sure your use of the Service by your staff is lawful, including any employee-monitoring rules.

4.2 Tell us without delay if you suspect unauthorised access: support@azayn.com.

4.3 A business web address (the name after scan2eat.com/) is given first come, first served. We may refuse or take back names that are reserved, misleading, or that infringe someone's rights or imitate another business. Names of restaurants or hotels inside an account are internal labels and must not be used to get around plan limits.

5. Your content, and our rights

5.1 You own your content (menus, images, prices, orders, settings). You give us a non-exclusive, worldwide right to host, process, display and transmit it solely to provide the Service.

5.2 You confirm that you have the rights to your content and that it follows the law and the Acceptable Use Policy. We may remove or disable unlawful content after notice where we can, and at once where the law requires.

5.3 We own the Service, the software, firmware, documentation and trademarks, and anonymised statistics that do not identify you or any person. You get a non-exclusive, non-transferable right to use the Service during the contract. You may not reverse engineer it, except where mandatory law allows it.

6. Guests and personal data

6.1 For the personal data of guests and of your staff handled through the Service, you are the controller and we are the processor, under the Data Processing Agreement. For your account, billing, website and security data we are the controller, as the Privacy Policy explains.

6.2 You must give guests the information the law requires (the Privacy Policy has a short guest notice you can use), have a legal basis for the processing, and not ask guests to enter health or other special-category data in order notes unless the law allows it. Guest names in the Service are automatically generated nicknames.

7. Availability and support

7.1 We aim for high availability but do not promise uninterrupted operation. For the Large and Multi plans the Service Level Agreement applies. We announce planned maintenance where we reasonably can.

7.2 Support is by email at support@azayn.com. Kitchen ticket printing is a convenience. You remain responsible for keeping your operation running and for having a manual fallback for outages.

8. QR display devices

Devices are sold under the Device Terms of Sale. How secure a QR code is depends on the physical device. A static QR code is less secure, so you choose the mode that fits your venue. We do not promise that nobody can relay, photograph or forge a QR code.

9. Exporting, keeping and deleting data

9.1 You can export your data (menu, orders, bills and settings) at any time during the contract and for 30 days after it ends.

9.2 When the contract ends, or when you ask, we delete your data as the Retention and Deletion Policy describes: after you confirm and may export, with a 14-day period in which you can cancel, then deletion of your database. Backups age out within 30 days. The business web address is held back for 90 days. Records we must keep by law, such as our own invoices and payment records, are kept for the statutory period.

10. Warranty

10.1 We provide the Service with the care of a reasonable provider and fix defects within a reasonable time. Statutory rights for defects that cannot be excluded between businesses are not affected. Beyond that, claims for defects are limited to repair and, if repair repeatedly fails, to a price reduction or termination.

10.2 We do not promise that the Service fits a particular legal purpose, such as fiscal or allergen-law compliance, beyond what it describes.

11. Liability

11.1 We are fully liable for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, where we have given a guarantee, for fraudulently concealed defects, and wherever the law does not allow liability to be excluded.

11.2 For slightly negligent breach of an essential contractual obligation (one whose fulfilment makes proper performance possible and on which you may regularly rely), we are liable only for the foreseeable damage typical for this kind of contract, and per calendar year at most the fees you paid or owed in the 12 months before the claim.

11.3 Otherwise we are not liable for slight negligence. Liability for loss of data is limited to the effort typically needed to restore it if you had exported your data regularly as section 9 allows.

11.4 This section also protects our employees and agents.

11.5 You will indemnify us against third-party claims that arise from your content, from your breach of sections 2.2 and 2.3 or the Acceptable Use Policy, or from using the Service against the law, as far as you are responsible.

12. Suspension

We may suspend access, in whole or in part, where needed to protect the Service, for a material breach of these terms or the Acceptable Use Policy, where the law requires it, or for non-payment after the grace period. We give notice first where we reasonably can and suspend only as much as necessary.

13. Term and termination

The contract runs as section 3.3 says. Either side may terminate for good cause. For us, good cause includes repeated payment default, a serious or repeated breach of the Acceptable Use Policy, and your insolvency. On termination section 9 applies. Provisions that by their nature continue (liability, indemnity, confidentiality, governing law) continue.

14. Confidentiality

Each side keeps the other's non-public information confidential and uses it only for the contract, unless the law requires disclosure.

15. Changes to these terms

We may change these terms for valid reasons (changes in law, new features, security, restoring the balance of the contract) with 30 days' notice by email and in the app. You may object in text form within that time. If you do, the earlier terms continue until the next date on which the contract can end, and either side may end the contract from the date the change would have applied. If you do not object, the change applies after the notice period, and the notice will say so.

16. Sanctions and export control

You may not use the Service in breach of applicable sanctions or export-control laws, and you confirm that neither you nor your owners are on an applicable sanctions list.

17. Governing law and courts

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory rules of your country that cannot be excluded between businesses remain unaffected. As far as the law permits, the courts at our place of business, as stated in the Legal information, have exclusive jurisdiction. The binding text of these terms is the English one. Translations are for convenience.

18. General

Text form (email) satisfies written form unless the law requires otherwise. If a provision is invalid, the rest stays in force and the invalid provision is replaced by a valid one that comes closest to its purpose. You may not assign the contract without our consent. We may assign it to a successor to the business, with notice. Notices to us go to support@azayn.com or the address in the Legal information.
